ARTICLE I
Club Name: The official name shall be the "Wright Triathlon Club of Dayton", herein after referred to as WTC.
ARTICLE II
Club Purpose: The WTC is an organized club dedicated to the educational pursuit of triathlon, general physical fitness, and the representation of the sport of triathlon within the community.
ARTICLE III
Club Membership:
§ 1 Membership shall be open to any individual who shares in the common purpose of the WTC, and shall be granted without discrimination upon basis of race, creed, color, religion, age, sex, national origin, and physical or mental handicap.
§ 2 Each member shall be required to pay annual dues, the amount to be determined by the membership. Membership shall run from January 1 to December 31.
ARTICLE IV
Club Officers:
§ 1
Generally:
Five (5) officers and three (3) directors shall comprise the WTC Executive Committee. Terms of office are from January 1
through December 31 of the calendar year.
- § 2
Officers:
- (a) President: Presides over meetings and can appoint
to fill board vacancies. Coordinates all functions of the club. The term shall be limited to not more than one (1) year consecutively.
- (b) Vice President: In the absence of the President,
performs the duties of the President. Also responsible for guest speakers at club meetings. Keeper of club check-out library.
- (c) Secretary: Keeps accurate meeting minutes.
Responsible for keeping records of the membership (club roster), as well as keeping all members informed of upcoming affairs. Works
with Marketing Director and Web master and assists with publicity, as required. The secretary will update the membership roster and
send out welcome letters and membership cards weekly as required. Updated rosters will be sent to club officers upon request. A roster
is also sent annually to USAT for the club membership discounts. (If possible, join this with treasurer's USAT bill payment) At least
quarterly, the secretary will submit to the treasurer a request for reimbursement. (Postage, stationary, ink)
- (d) Treasurer: Collects club dues, and maintains the club's account. Provides a monthly
(Change to quarterly) financial report to the WTC Executive Committee. Upon approval of the Executive Committee, pays debts of the WTC,
through checks signed by at least two (2) approved members of the Executive Committee. The web bill and the USAT/USAT Insurance
payments will be pre approved by the WTC Executive Committee for payment by the treasurer. Will have custody of the P.O. box key
and will check the mail weekly. Each new member deposit will be deposited into the club account weekly. A copy of the completed
application will be forwarded to the club secretary ASAP via the quickest efficient means. (FAX, e-mail, etc.).
- (e) Webmaster: Constructs and updates the WTC
website. Works with the WTC Executive Committee in design of our club web based product. Takes information inputs from entire club body.
- (f) Director at Large (Civ): Participate in executive
meetings and vote on club policies. Coordinate with community personnel and local vendors. Works in concert with the marketing director
on placing flyers and other club informational products. Assists marketing director in implementing the marketing strategy. Focal
point for questions by local persons such as "how to get involved in the sport of triathlon or multi-sports." (Population represented
over 200,000+)
- (g) Director at Large (Milt): Participate in executive
meetings and vote on club policies. Coordinate with Wright Patterson AFB personnel and key staff to include gyms and fitness center
staff. Works in concert with the marketing director on placing flyers and other club informational products. Assists marketing director
in implementing the marketing strategy. Focal point for questions presented by base personnel, such as "how to get involved in the
sport of triathlon or multi-sports." (Population represented 20,000+)
- (h) Marketing Director: Participate in Executive
meetings and vote on club policies. Prepares a marketing strategy or marketing plan. Develops club flyers and keeps the club
banner. Insures the banner is available at club races and other events of club interest. Contact sports and other vendors to request
club discounts and to post club flyers. Helps us in selecting uniforms (vendors) and silk screen designs. Helps us locate preferred
race organizers, shops and vendors who cater to our triathloning interests.
- § 3
Other Appointed Positions:
- (a) Club Reporters: Individuals who volunteer to
take photos and write up articles for the club races. Drafts and finished articles will be sent to the secretary for review and then
to the webmaster for addition to the web site.
- (b) Workout Leaders: Individuals who help us establish
workout programs. These may be certified trainers such as spinning instructors, trainers, swimming coaches or triathlon coaches.
These individuals will set schedules and locations for various workouts which are approved and posted on the website by the club.
These workouts once approved and planned will be held rain or shine unless some unforeseen emergency occurs. Whenever possible if
some deviation to a training event occurs individuals will be notified via e-mail and if possible the change will be posted on the
web site.
- (c) Historian: Documents annual history.
Works with club reporters, secretary and webmaster in producing annual history.
ARTICLE V
Meetings:
- § 1 Executive Committee Meetings:
- (a) Executive Committee Meetings shall be held quarterly. Dates and times of Executive Committee meetings and agenda items are to be published on the WTC webpage at least seven (7) days prior to the meeting. All Executive Committee meetings are open to the membership.
- (b) There must be at least four (4) Executive Committee members present in order to have a quorum.
- (c) All Executive Meetings shall be governed by Robert's Rules of Order.
§ 2 General Membership Meetings: Club meetings shall be held on the second Wednesday of each month. Dates, times and location of the meeting shall be published on the WTC webpage at least seven (7) days prior to the meeting.
§ 3 Special Meetings: Special Meetings may be called by any seven current club members who petition the Executive Committee in writing. Such meeting will be published on the WTC webpage at least three (3) days prior to the meeting.
§ 4 Committees: The Executive Committee can appoint committees as needed for club business or activities.
ARTICLE VI
Elections:
- § 1 Nominating Committee:
- (a) The President shall establish a nominating committee at the September Executive Committee meeting.
- (b) The nominating committee consists of one Executive Committee member and one member-at-large.
- (c) The nominating committee requests nominations from the floor at the September and October general membership meetings.
- (d) The nominating committee shall present a slate of candidates at the November meeting and request final nominations from the membership.
§ 2 Elections:
- (a) The final slate of candidates shall be presented to the membership at the December meeting. An election shall be held at this meeting.
- (b) The officers shall be elected by a simple majority vote of the members present at that time.
§ 3 Vacancies: All vacancies shall be filled by appointment from the President.
ARTICLE VII
Finances:
§ 1 The WTC is a non-profit organization, pursuant to the Internal Revenue Code (I.R.C.) §501(c)(3). Dues, entry fees, sponsorship funds, and other monies received by the organization will be spent entirely for carrying out the stated purpose of the organization.
§ 2 The WTC Executive Committee shall serve without remuneration and shall be dues paying members.
§ 3 No part of the net earnings of the organization shall inure to the benefit of its individuals.
§ 4 This organization is entitled to participate in fund-raising activities, including participating with other non-profit organizations.
ARTICLE VIII
Amendments:
§ 1 All proposed amendments shall be submitted in writing to the WTC Executive Committee.
§ 2 The proposed amendment, upon receipt by the Executive Committee, shall be posted to the WTC website. This posting shall be done at least seven (7) days prior to the next club meeting. If this is not possible, the amendment shall be presented to the members at the next regularly scheduled meeting, and voting shall be deferred until the following meeting.
§ 3 Amendments are voted on by the club membership at a regularly scheduled meeting and shall pass upon a simple majority vote of the members present at the meeting.
ARTICLE IX
Dissolution: In the event of dissolution of the WTC, the funds in the treasury shall be paid to the creditors of the WTC, and thereafter pursuant to IRC §501(c)(4).
